Welcome to the indvstry exchange website (the "Site"). These Terms and Conditions ("Terms") govern your relationship with indvstry exchange, organized by Indvstry Clvb and Vuga Music Inc., in partnership with Symphonic Distribution, Spin Music, and Luc Belaire France (collectively, "we," "us," or "the Organizers").

By accessing this Site, submitting an application, purchasing a ticket, or participating in any indvstry exchange initiatives, including our panels, concerts, or the artist accelerator, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Eligibility & Submissions

1.1The indvstry exchange artist accelerator is open to independent musicians, songwriters, producers, audio engineers, photographers, videographers, fashion stylists, and music content creators globally, spanning Africa and the international diaspora.

1.2All initial applications and media submissions (audio, video, reels, or portfolios) must be submitted privately through our secure website portal.

1.3By submitting your work, you warrant that all content is your original creation and does not infringe upon the intellectual property rights of any third party.

1.4UGC Component, Applicants who utilize our custom graphic generator agree to allow the Organizers to re-share their user-generated content, photos, and social posts across official indvstry exchange digital channels for promotional purposes.

1.5Single Track Limit, Music applicants must submit exactly one (1) song per application, and the submitted track must not exceed five (5) minutes in length. Multiple uploads, medleys, or tracks longer than 5 minutes will be automatically disqualified without review.

1.6One Person Per Application, The Accelerator strictly accepts one (1) creator per application. Bands, duos, and groups must email exchange@indvstryclvb.com in advance for individual review and written clearance before submitting. Group applications submitted without prior clearance are void.

1.7Original, Unreleased Music Only, All music submitted through Spin Music must be 100% original and unreleased. Submissions may not contain uncleared samples, interpolations, or third-party stems, and must never have been previously distributed, released, or made publicly available on any platform. Any submission found in breach is disqualified without review.

Program Phases & Selection Funnel

2.1Phase 1 (Intake): Applications open on July 21st, 2026, and close on August 30th, 2026. Submissions received after the deadline will not be considered.

2.2Phase 2 (Virtual Incubator): A panel of judges possessing over 80 combined years of music industry experience will select the Top 100 applicants. Admitted participants must commit to a mandatory 2-hour online masterclass every Saturday for four consecutive weeks.

2.3Phase 3 (IRL Writing Camp): From the cohort, 30 standout creators will be selected for a 3-day in-person writing and content camp in Nairobi, Kenya. The Organizers reserve the right to select participants based on performance metrics established during Phase 2.

Solo Attendance & Team Disclosure Policy

3.1Solo Attendance Expectation, All creators selected to advance to the Phase 3 In-Person Writing Camp in Nairobi are expected to attend the sessions, workshops, and studio environments alone.

3.2Advance Notification Requirement, If a selected creator intends to bring a manager, business partner, or creative collaborator with them to Kenya or the official camp venue, they must explicitly notify the Organizers in writing ahead of time.

3.3Management Credentials, The entry, accommodation, and clearance of any accompanied management or personnel are subject to separate validation, and their presence must be approved in writing by the indvstry exchange team prior to arrival.

Packaged Deals & Ticket Limits

4.1Strict Individual Application, For participants, attendees, or executives who purchase an official travel, accommodation, or experiential packaged deal to join us in Kenya, all offerings, perks, transport arrangements, and credentials apply strictly to one (1) person.

4.2Non-Transferable Rights, Packages and perks do not extend to multiple people or unapproved entourages. All services, access passes, and accommodations provided within a packaged deal will cater exclusively to the primary buyer or the specific, designated individual formally named on the ticket or invoice at the time of purchase. No substitutions will be permitted on-site.

Fees, Payments & Ticket Offerings

5.1Application & Phase 2 Fees, Entering the initial submission pool and participating in the 4-week Virtual Incubator is entirely free of charge.

5.2No Fees, The Artist Accelerator and the Phase 3 In-Person Writing Camp in Nairobi are 100% free. Creators selected to advance are never asked to pay a programme fee, deposit or any other charge. Studio tracking, mixing, engineering, photoshoots, styling and content creation bundles are fully covered by Indvstry Exchange and its partners. Anyone requesting payment in our name is not acting for us, report it to exchange@indvstryclvb.com.

5.3Panel & Concert Tickets, Tickets purchased for the daytime industry panels grant the ticket holder dual admission to the nighttime headline concert.

Grand Prize Performance & Distribution

6.1The executive panel will select three (3) Finalists from the Nairobi writing camp to perform live at the December 2026 Concert. Selection decisions made by the judges and Organizers are final and binding.

6.2Global music distribution and publishing administration prizes are subject to the standard artist and songwriter agreements issued by Symphonic Distribution and Vuga Music Inc. The fully funded marketing push applies exclusively to the designated winner's next single.

6.3Compilation Master Splits, Master royalties on any official Indvstry Exchange compilation release are administered by Symphonic Distribution and split 80/20 in the artist's favour.

6.4Publishing & Sync, Publishing administration and sync licensing for works created through the programme are handled by Vuga Music Publishing.

Media Release, Photography & Filming

7.1Video, photography, and audio recordings will be captured throughout all indvstry exchange events, including panels, mixers, after-parties, cultural experiences, the Nairobi Writing Camp, and the December Concert. By purchasing a ticket, RSVP'ing, or entering any venue, you acknowledge that you may be photographed, filmed, or recorded.

7.2By attending, you grant the Organizers the irrevocable, worldwide, royalty-free right to capture, edit, reproduce, distribute, and publicly display your image, likeness, voice, and performance in any and all media (including social channels, editorial features, recaps, sizzle reels, sponsor content, and future marketing) for promotional, editorial, or commercial purposes, without further notice, approval, or compensation.

7.3If you do not wish to be filmed or photographed, you must notify a member of the Organizers' media team in writing on-site; while we will make reasonable efforts, we cannot guarantee omission from wide-lens crowd, stage, or ambient coverage.

No Refunds & Ticket Policy

8.1STRICTLY NO REFUNDS. All ticket sales, package purchases, RSVPs converted to paid access, application/program fees, and any deposits paid to indvstry exchange are FINAL and NON-REFUNDABLE under any circumstance, including but not limited to no-shows, travel disruptions, visa denials, illness, schedule changes, lineup changes, weather, or personal cancellation.

8.2Tickets and program slots are strictly non-transferable to another individual and cannot be resold. The named ticket-holder or program participant must present matching photo ID at check-in.

8.3The Organizers reserve the right to modify the lineup, schedule, venue, program format, or ancillary perks at any time. Such changes do not constitute grounds for a refund.

8.4In the rare event that the Organizers cancel an event outright with no rescheduled date, ticket-holders will be offered a credit toward a future indvstry exchange event of equivalent value. Cash refunds remain at the sole discretion of the Organizers.

Limitation of Liability

9.1The Organizers are not liable for any personal injury, loss, theft, or damage to personal equipment (including musical instruments, cameras, or computers) sustained during the 3-day Writing Camp or the December Concert events.

9.2Travel to and from the in-person locations in Kenya is the sole responsibility of the individual attendee, unless explicitly written otherwise in a premium, validated custom contract agreement.

Judges' Discretion & Program Conduct

10.1Final Say, All selection decisions across every phase — Top 100, Top 30, Top 3 finalists, panelists, and performance slots — are made at the sole and final discretion of the Indvstry Exchange judges and executive panel. Decisions are not open to appeal, negotiation, or public dispute.

10.2Right to Terminate, The Organizers reserve the right to remove any participant, mentee, ticket-holder, or accredited guest from the Accelerator, Writing Camp, Panels, or Concert at any time — with no refund — for conduct deemed disrespectful, unprofessional, harassing, abusive, unsafe, or otherwise damaging to mentors, judges, staff, venues, sponsors, or other participants.

10.3Behavioural Standard, By accepting a slot or credential, participants agree to conduct themselves with respect and professionalism at all official Indvstry Exchange sessions, mentor meetings, studio time, on-site events, and digital correspondence.

Confidentiality

11.1Confidential Correspondence, All communication, feedback, mentor notes, unreleased music, deal terms, financials, contact details, and any private information shared by Indvstry Exchange, its mentors, judges, sponsors, or partners is strictly confidential.

11.2No Sharing or Leaking, Participants may not share, screenshot, publish, forward, quote, or leak any private correspondence, mentor session content, or unreleased partner materials to any third party, media outlet, or public channel without written permission from the Organizers.

11.3Breach, Any breach of confidentiality is grounds for immediate removal from the program without refund and may result in legal action to protect the interests of the Organizers, mentors, and partners.
